Website Terms of Use

Article 1. Definitions

In these terms of use the following definitions apply:

  1. 1.
    Gylder: cdum B.V., trading under the name Gylder, registered with the Dutch Chamber of Commerce under number 93033613, with its registered address at Boxmeerstraat 129, 5043ZC Tilburg, the Netherlands.
  2. 2.
    Website: Gylder's website, accessible via gylder.nl and its subdomains and public pages, excluding the restricted area that is accessible only after logging in.
  3. 3.
    Visitor: any natural or legal person who consults or uses the Website.
  4. 4.
    Content: all information placed on the Website, including texts, articles, documentation, images, design, logos, trade marks, software, and the compilation thereof.
  5. 5.
    Service: Gylder's software service, available after creating an account.

Article 2. Applicability and scope

  1. 1.
    These terms of use apply to every visit to and every use of the Website.
  2. 2.
    By using the Website the Visitor accepts these terms of use. Anyone who does not accept them should not use the Website.
  3. 3.
    These terms of use concern the Website only. Use of the Service is governed by Gylder's Terms and Conditions.
  4. 4.
    Participants in the Early Goose Programme are additionally governed by the Early Goose Agreement. In the event of a conflict, that agreement prevails insofar as the Early Goose Programme is concerned.
  5. 5.
    The processing of personal data and the use of cookies are governed by Gylder's privacy policy, available at gylder.nl/privacy.
  6. 6.
    Deviations from these terms of use apply only if expressly confirmed in writing by Gylder.

Article 3. Use of the Website

  1. 1.
    The Visitor may consult and use the Website for their own, non-commercial, informational purposes.
  2. 2.
    The Visitor uses the Website in accordance with these terms of use, the law, and generally accepted standards of conduct.
  3. 3.
    Gylder grants no right to the Website or the Content other than the right of use described in paragraph 1.

Article 4. Prohibited use

  1. 1.
    The Visitor is not permitted to:
    1. a.use the Website or the Content in a manner that conflicts with the law or with the rights of Gylder or third parties;
    2. b.reproduce, publish, distribute, or modify the Content in whole or in part, or create derivative works from it, other than with Gylder's prior written permission;
    3. c.search, read out, or copy the Website by automated means, including by means of scrapers, crawlers, bots, or comparable techniques, other than by search engines that respect the customary exclusion protocols;
    4. d.use the Content to train, validate, or otherwise develop automated or self-learning systems, without Gylder's prior written permission;
    5. e.reverse-engineer or decompile the Website, or subject it to investigation aimed at revealing its underlying source code or operation;
    6. f.circumvent or breach security measures, access controls, or rate limits;
    7. g.place such a load on the Website that its availability to others is impaired;
    8. h.obtain access to parts of the Website not intended for the Visitor;
    9. i.remove or obscure trade marks, logos, copyright notices, or other indications of rights;
    10. j.use the Website to send unsolicited messages or to distribute harmful software.
  2. 2.
    Gylder may block access to the Website if the Visitor acts in breach of this Article, without prejudice to its other rights.

Article 5. Intellectual property

  1. 1.
    All intellectual property rights in the Website and the Content, including copyright, trade mark rights, trade name rights, and database rights, vest in cdum B.V. or in its licensors.
  2. 2.
    The name Gylder, the figurative mark, and other branding are and remain the property of cdum B.V. Use of them is not permitted without prior written permission.
  3. 3.
    It is not permitted to duplicate, adopt, or republish the Content without Gylder's prior written permission. This also applies to partial adoption and to adoption in modified form.
  4. 4.
    Quoting limited parts of the Content with attribution and a link to the page concerned is permitted, insofar as this remains within the limits of the statutory right of quotation.
  5. 5.
    Requests for permission, including requests from press and partners, may be addressed to legal@gylder.nl.
  6. 6.
    Nothing in these terms of use serves to transfer any intellectual property right.

Article 6. Content of the Website

  1. 1.
    The Content is intended for general information only.
  2. 2.
    Gylder is not liable for the accuracy, completeness, or timeliness of the Content. The Content may become outdated and may be changed or removed without notice.
  3. 3.
    No rights may be derived from the Content, including from prices, rates, functionality, and expected delivery dates stated on the Website. What has been agreed on entering into an agreement is decisive.
  4. 4.
    Articles on the blog and the documentation pages describe the situation at the time of publication. Gylder is not obliged to keep them up to date.
  5. 5.
    Obvious errors and mistakes do not bind Gylder.

Article 7. No advice

  1. 1.
    The Content does not constitute financial, tax, legal, or investment advice and is not a recommendation to enter into or terminate any financial transaction.
  2. 2.
    Gylder is not a financial adviser, investment firm, broker, or asset manager.
  3. 3.
    A Visitor who acts on the basis of the Content does so at their own expense and risk. Gylder recommends that the Visitor seek advice from a qualified adviser where necessary.

Article 8. Information provided by the Visitor

  1. 1.
    The Website offers the possibility of leaving information, including registering for a waitlist and completing a survey.
  2. 2.
    The Visitor warrants that the information they provide is accurate and that they are entitled to provide it.
  3. 3.
    It is not permitted to provide third parties' information without their consent.
  4. 4.
    Gylder processes this information in accordance with its privacy policy.
  5. 5.
    Suggestions, ideas, and feedback that the Visitor provides to Gylder without obligation may be used freely by Gylder to improve its services, without any fee being payable and without prejudice to any right of the Visitor.

Article 9. Third-party websites

  1. 1.
    The Website may contain links to third-party websites or services.
  2. 2.
    Gylder has no control over those websites or services and accepts no liability for their content, availability, or practices.
  3. 3.
    A link does not constitute an endorsement or approval.

Article 10. Availability and modification of the Website

  1. 1.
    Gylder endeavours to keep the Website available but does not guarantee uninterrupted availability or error-free operation.
  2. 2.
    Gylder may change, restrict, or discontinue the Website, the Content, and the functionality offered on it at any time, without being liable to the Visitor for doing so.
  3. 3.
    Gylder may carry out maintenance that temporarily affects availability.

Article 11. Liability

  1. 1.
    Use of the Website is at the Visitor's own expense and risk.
  2. 2.
    Gylder is not liable for damage arising from use of the Website or from reliance on the Content, including damage resulting from inaccuracies or incompleteness in the Content, from temporary unavailability, or from acting on the basis of the Content.
  3. 3.
    Gylder is not liable for indirect damage, consequential damage, lost profit, or lost savings.
  4. 4.
    Insofar as Gylder would nevertheless be liable for damage arising from use of the Website, that liability is limited to one hundred euros (EUR 100) per event, whereby a series of connected events counts as one event.
  5. 5.
    The exclusions and limitations in this Article do not apply in the event of intent or wilful recklessness on the part of Gylder, nor to the extent that liability cannot be excluded or limited under mandatory law.
  6. 6.
    This Article is without prejudice to the liability provisions in the Terms and Conditions for the Service.

Article 12. Personal data and cookies

  1. 1.
    Gylder processes personal data in accordance with the General Data Protection Regulation and its privacy policy.
  2. 2.
    The Website places cookies only as described in the privacy policy. Consent is requested in advance for non-essential cookies.

Article 13. Changes to these terms of use

  1. 1.
    Gylder may amend these terms of use at any time.
  2. 2.
    The amended terms apply from the moment they are published on the Website. The date of last amendment is stated at the top.
  3. 3.
    It is for the Visitor to consult these terms periodically. Continued use of the Website after publication of an amendment constitutes acceptance of it.
  4. 4.
    A separate, announced procedure applies to amendments of the Terms and Conditions for the Service. See the relevant article in those terms.

Article 14. Governing law and disputes

  1. 1.
    These terms of use are governed exclusively by Dutch law.
  2. 2.
    Disputes are submitted to the competent court in the district in which Gylder has its registered office. If the Visitor is a consumer domiciled within the European Economic Area but outside the Netherlands, the court of their domicile has jurisdiction, in accordance with Regulation (EU) 1215/2012.
  3. 3.
    If a provision of these terms of use is void or voidable, the remaining provisions remain in force and are replaced by a provision that approximates the intent of the original as closely as possible.
  4. 4.
    The Dutch version of these terms of use is decisive for their interpretation.
